OPEN AND OFFERED ONLY TO LEGAL U.S. RESIDENTS RESIDING IN ONE OF THE FIFTY UNITED STATES OR THE DISTRICT OF COLUMBIA THROUGHOUT THE SWEEPSTAKES PERIOD WHO ARE 13 YEARS OF AGE OR OLDER AT THE TIME OF ENTRY. HOW TO ENTER: The "Let Pepsi Rock Your Super Bowl" Sweepstakes (the "Sweepstakes") starts on December 23, 2008 at 12:00:01 a.m. EST and ends January 29, 2009 at 9:20:59 p.m. EST (the "Sweepstakes Period"). The computer of Yahoo! Inc. is the official time-keeping device of the Sweepstakes. To enter the Sweepstakes go to www.pepsismashrocks.com or www.nfl.com/PepsiSmash (each individually referred to as "Web Site") during the Sweepstakes Period and register for the Sweepstakes by using your Yahoo! ID along with a complete, valid name, address, phone number, gender and date of birth. If you are not an existing Yahoo! ID holder, you will be required to create a free Yahoo! ID ("Account") prior to registering for the Sweepstakes. Limit one (1) entry per person, address and household during the Sweepstakes Period. Each person may enter the Sweepstakes from only one (1) Account; entries made by one (1) person from multiple Accounts under different Yahoo! IDs may be voided by Sponsor in its sole discretion. Proof of completing entry form does not constitute proof of delivery or entry.

SWEEPSTAKES ENTRY CONFIRMATION: If your email account is protected by an anti-spam filter, be sure to set it up to allow you to receive emails from the Sponsor in connection with the Sweepstakes. Once you have submitted your entry a unique 8-digit numeric code that identifies your entry will be generated ("Game Code") and displayed on-screen. You may also receive an auto-reply message at the email address that was provided upon registration which will contain your confirmation Game Code. Print and save the Game Code (or carefully make note of your Game Code if you do not have a printer) until the Sweepstakes winning Game Code is announced at the end of the " 2009 Pepsi Smash Super Bowl Bash" during the television broadcast (see Rule 4) of the 2009 Pepsi Smash Super Bowl Bash scheduled to be held on January 29, 2009 and televised live on the cable television network, VH1 beginning at 9:00 p.m. ET (check your local listing for time and channel). Each participant who receives a Game Code will be entered in the Sweepstakes for a chance to win the Prize Package as described in Rule 5. If a registered user is signed in to Yahoo! and returns to the Web Site or attempts a 2nd entry, the Game Code associated with the Yahoo ID will be displayed.

SWEEPSTAKES DRAWING. The potential winning Game Code will be selected in a random drawing from among all entries received. Drawing will be conducted after the end of the Sweepstakes Period and prior to the end of the " 2009 Pepsi Smash Super Bowl Bash" by an independent judging agency whose decisions shall be final and binding. Odds of winning depend upon the number of eligible entries received. The winning entry drawn is subject to verification. One (1) Grand Prize will be awarded.

ANNOUNCEMENT OF WINNING ENTRY. Towards the end of the airing of the "Pepsi Smash Super Bowl Bash," currently scheduled to begin airing at 9:00 p.m. ET on VH1 on January 29, 2009 and ending at 10:00 P.M., the winning entry will be identified by revealing the Game Code associated with such entry at which time all eight (8) numeric Game Code characters are displayed at once. To see if your Game Code has been drawn as the winning entry, you can watch the televised broadcast of the "2009 Pepsi Smash Super Bowl Bash," or go to either www.pepsismashrocks.com or www.nfl.com/pepsismash. The Potential Sweepstakes winner will be notified by Sponsor (see Rule 10) and does not need to be watching the "2009 Pepsi Smash Super Bowl Bash" to win. Neither the NFL Entities (as defined below) nor Sponsor is responsible for any postponement, delay or cancellation of the event or "2009 Pepsi Smash Super Bowl Bash." Possession of the Game Code revealed on the television broadcast or online does not constitute proof of winning. You are not a potential winner unless you have been notified by Sponsor in accordance with Rule 10 below.

GRAND PRIZE: One (1) Grand Prize Package will be awarded consisting of: one (1) trip for Sweepstakes winner and winner’s three (3) guests to Super Bowl XLIV in South Florida in 2010 including: roundtrip coach air transportation for Sweepstakes winner and winner’s three (3) guests from an airport nearest the Sweepstakes winner’s home within the U.S. (airport and carrier to be selected by Sponsor); two (2) double occupancy standard hotel room(s) for four (4) nights; Ground transportation (a) to/from airport and hotel, and (b) to/from hotel and events; four (4) VIP tickets to attend the "2010 Pepsi Smash Super Bowl Bash"; four (4) tickets to attend Super Bowl XLIV; four (4) tickets to attend the "Diet Pepsi Rookie of the Year Party"; "NFL Sponsor Party" and "NFL Tailgate Party"; and Five Hundred Dollars ($500.00) spending cash. Estimated retail value of the Grand Prize Package awarded in this Sweepstakes is up to $20,100, depending on Sweepstakes winner’s point of travel origin. All other expenses not specifically mentioned herein are solely the responsibility of the Sweepstakes winner and winner’s three (3) guests. The Super Bowl XLIV in South Florida in 2010 is scheduled for February 7, 2010. It is anticipated that travel will be scheduled to commence on or about February 4, 2010 with a return date of February 8, 2010. Exact travel dates will be communicated to Sweepstakes winner along with the Affidavit (see Rule 10 below). All travel must be taken on dates specified; no alternative travel dates are available. All travel subject to availability, blackout periods, government restrictions and regulations, hotel, airline, airport or other transportation terminal (or other types of transportation) restrictions and regulations. Other restrictions may apply. Sponsor assumes no responsibility for cancelled, delayed, suspended or rescheduled events (including, without limitation, airline flights, Super Bowl XLIV, 2010 Pepsi Smash Super Bowl Bash, Diet Pepsi Rookie of the Year Party, NFL Sponsor Party, NFL Tailgate Party) beyond its control. Sweepstakes winner and winner’s three (3) guests must each sign and return a travel release before any ticketing or travel occurs. Sweepstakes winner and winner’s three (3) guests must have all necessary identification and/or travel documents (e.g., a valid U.S. driver’s license) required for travel within the United States. Sweepstakes winner and winner’s three (3) guests must travel on same itinerary. All minor guests (under the age of majority in their state of residence) on trip must be accompanied by minor's parent or legal guardian.

If Sponsor (or its agent) is unable to contact Sweepstakes winner for any reason, or if any mail (postal or email) is returned as undeliverable without a forwarding address, prize award will be forfeited.

ELIGIBILITY: You must be 13 years of age or older and a legal resident of the United States residing in one of the fifty (50) states or District of Columbia at the time of entry to be eligible to participate in the Sweepstakes or win the Grand Prize. Employees of Pepsi-Cola Company ("Sponsor"), its bottlers, 7-Eleven, Yahoo! Inc., the NFL Entities (as defined below), MTV Networks ("MTVN"), a division of Viacom International, Inc. ("Viacom"), and each of their respective parent companies, subsidiaries, divisions, affiliates, distributors, suppliers, printers and advertising, promotional and judging agencies ("Promotion Parties" collectively, "Sponsor and Promotion Parties") and the immediate family members (parent, child, sibling, spouse) and persons living in the same household as such individuals (whether related or not) are not eligible to win. If a potential Sweepstakes winner is an eligible minor, the applicable Grand Prize Package will be awarded to winner’s parent or legal guardian, who will be required to sign and return all Sweepstakes prize acceptance documents and assume all responsibilities of the Sweepstakes prize winner. No groups, clubs, newsletters or organizations can participate in this Sweepstakes on behalf of the group, club or organization or distribute these rules to its members.

YAHOO! ACCOUNT HOLDER IDENTITY: All entries submitted online will be submitted in the name of the holder of the Yahoo! ID used at the time of entry submission. In the event of dispute regarding the identity of the holder of the Yahoo! ID, the dispute will be resolved in favor of the individual who is both the authorized holder of the Yahoo! ID and password associated with the Account (based upon information submitted at the time the Account was created or updated upon registration for this Sweepstakes) and, if available, the "authorized e-mail account holder" of the "alternate e-mail address" provided when the Yahoo! ID was created. "Authorized email account holder" is defined as the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization (i.e., business, education institution) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If there is a discrepancy between the name of the person listed as the "authorized holder of the Yahoo! ID" and the "authorized e-mail account holder" of the alternate e-mail address provided when the Yahoo! ID was created, that Yahoo! ID will be disqualified and an alternate potential Sweepstakes winner will be selected. Potential Sweepstakes winner may be required to provide proof that he/she is the authorized Account holder as described above.

GENERAL CONDITIONS: No substitution of prize except as stated herein is offered, no transfer of prize to a third party is permitted and non-cash prizes are not redeemable for cash value. Sponsor reserves the right to award a prize of equal or greater value in the event any portion of the published prizes becomes unavailable. Sponsor and Promotion Parties are not responsible for any cancelled, delayed or rescheduled event. If the Sweepstakes winner is unable to attend any event, that portion of the prize will be forfeited. Upon forfeiture for any reason stated herein, no compensation will be given. Any difference between the stated estimated value of a prize and actual value of prize will not be awarded. Prize recipients are responsible for all applicable federal, state, and local taxes, if any, on a prize. Non-participation in any portion of the prize does not relieve winner of winner’s tax obligations associated with winning the prize. All participants agree to be bound by the Official Rules and decisions of Sponsor which shall be final and binding. Non-compliance with these Official Rules will result in disqualification. You are not a winner until your entry and your Game Code is verified in accordance with these Official Rules, and you have fully complied with these Official Rules.

GAME CODE VERIFICATION: All Game Code confirmations are subject to verification at the sole discretion of Sponsor. Game Codes will be void if determined by Sponsor in its sole discretion, to be unauthorized, illegitimately obtained (i.e., through means other than those stated in Rule 2) or not issued by Sponsor for use in this Promotion or produced in error. No prize claim will be valid if such entry is associated with any Game Code deemed void for any reason, including without limitation, Game Code is not verified or recognized as being validly issued by Sponsor in the promotion. Sponsor and Promotion Parties shall have no liability or obligation to the holder of any void Game Code. 10. GRAND PRIZE WINNER NOTIFICATION: Potential Grand Prize winner will be notified by overnight mail at the postal address provided at the time of registration on the Web Site within fourteen (14) days of the drawing. Potential Grand Prize winner or potential Grand Prize winner’s parent or legal guardian if potential Grand Prize winner is a minor in their state of residence, will be required to sign and return an Affidavit of Eligibility and Liability Release ("Affidavit") within fourteen (14) days of attempted winner notification (as indicated by the date referenced in the Affidavit). Failure to return the Affidavit within fourteen (14) days may result in Grand Prize forfeiture, and an alternate winner may be selected. Any mail returned as undeliverable without a forwarding address may result in Grand Prize forfeiture and an alternate winner may be selected at Sponsor’s discretion. Grand Prize documents will be sent to winner at the postal address provided during registration on the Web Site. Entrants are responsible for keeping their postal address updated on the Web Site. Sponsor is not responsible for mail returned as undeliverable.

LIMITATIONS OF LIABILITY: No responsibility or liability is assumed by the Sponsor and Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect, without limitation, the operation of the Web Site or the ability to enter the Sweepstakes: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; issuance of duplicate Game Codes; failure of any e-mail or text messaging transmissions to be sent or received; lost, late, delayed or intercepted e-mail or text messaging transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or Web Site; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of an Account used in connection with the Sweepstakes, inaccessibility or unavailability of the transmission of the Pepsi Smash Super Bowl Bash show or subsequent display of the potential winning Game Code. Sponsor and Promotion Parties are not responsible for any typographical errors in the Game Codes, any display or announcement of Sweepstakes prizes or these Official Rules, or any errors in the broadcast in the revealing or announcement/display of the Game Code any inaccurate or incorrect data broadcast during the event or contained on the Web Site, including without limitation, the number of entries entered in any particular drawing, or any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from online participation in the Sweepstakes, or use of or download of any information from the Web Site. Use of Web Site is at user’s own risk. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEB SITE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Under no circumstances will Sponsor and Promotion Parties be liable for punitive, incidental, consequential, or any other damages arising from any action or inaction related to entrant’s participation in the Sweepstakes or acceptance or use of any Sweepstakes prize.

In no event will Sponsor be obligated to award more prizes than the number of prizes stated in these Official Rules. If for any reason whatsoever Sponsor determines in its sole discretion that the Sweepstakes is no longer capable of running as intended by these Official Rules, Sponsor may at its sole discretion cancel, suspend or modify the Sweepstakes in whole or in part. For example, if due to a production, mechanical or other error more than one (1) winning Game Code is issued, then Sponsor may award the Grand Prize in a random drawing from among verified Grand Prize Code holders as determined by Sponsor.

This Sweepstakes is governed by the laws of the United States and governed by the laws of the State of New York, without respect to conflict of law doctrines. As a condition of participating in this Sweepstakes, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (e.g. costs associated with entering), and participants further waive all rights to have damages multiplied or increased.

CONDUCT: By participating in this Sweepstakes, participants agree to be bound by these Official Rules and the decisions of the Sponsor which shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the Game Code process or the operation of the Sweepstakes or the Web Site, or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD ANY SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.

RELEASES: All entrants, as a condition of participation in this Sweepstakes, agree to release and hold harmless Sponsor, the NFL Entities (as defined below) and Promotion Parties, Pepsi-Cola bottlers, their respective parent companies, subsidiaries, affiliates, divisions, suppliers, printers, distributors and advertising, promotional or judging agencies, from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, expenses (including reasonable attorneys’ fees), losses to persons or property which may be sustained in connection with accessing the Web Site, submitting an entry or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use of any prize awarded, or while preparing for, participating in or traveling to or from any prize-related activity or any typographical or other error in these Official Rules or the announcement of offering of any prize. Sponsor and Promotion Parties make no representations or warranties of any kind concerning the appearance, safety or performance of any prize. Winner bears all risk of loss or damage to prize after it has been delivered. Except for residents of TN and where prohibited by law, winners grant to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known (including without limitation use online at the Web Site or any Sponsor web sites) the winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor.

WINNER’S NAME: For the name of the Sweepstakes Winner in this Sweepstakes, send a written request on a 3" x 5" card with your name and complete address before January 26, 2009 to: "Let Pepsi Rock Your Super Bowl Sweepstakes" Winner’s List Request, P.O. Box 750416, El Paso, TX 88575-0416. Winner’s name will be sent when Sweepstakes Winner has been verified and the Grand Prize has been awarded.
